Affiliate Program Agreement
This Affiliate Marketing Agreement (“Agreement”) is entered between Manuka ("Company," "we," "us") and the customer ("Member," "you"), effective upon the date of your affiliate registration.
1. Overview of the Agreement
The Affiliate agrees to promote the products and/or services of MANUKA in exchange for a commission based on the Affiliate’s referred sales. This Agreement sets forth the terms and conditions under which the Affiliate will participate in the Affiliate Marketing Program of MANUKA.
2. Commission Structure
MANUKA agrees to pay the Affiliate a commission for each sale generated through the Affiliate's unique referral link. The commission rate is defined as:
- Commission Percentage of the net sale amount (excluding taxes, shipping, and returns)
- Payment Schedule: Commissions will be paid on a monthly basis within [e.g., 30] days after the end of the month.
3. Affiliate Obligations
The Affiliate agrees to the following:
- Promotion of Products: The Affiliate will promote the products of MANUKA through channels such as websites, blogs, social media, or email marketing.
- Prohibited Activities: The Affiliate will not engage in any misleading or unethical marketing practices, including but not limited to spamming, unauthorized use of MANUKA’s branding, or bidding on brand-related keywords in search engines.
- Compliance: The Affiliate must comply with all applicable advertising and consumer protection laws.
- MANUKA will provide the Affiliate with a unique referral link that tracks sales made through the Affiliate’s promotions. The Affiliate is responsible for ensuring that their referral link is properly implemented in all promotional materials.
5. Commission Calculation
Commission will be calculated on completed sales generated through the Affiliate's referral link, excluding:
- Cancelled or refunded orders.
- Orders not completed through the Affiliate’s referral link.
6. Payments
Payments will be made through [Payment Method, e.g., PayPal, Bank Transfer] based on the provided commission rate and schedule. MANUKA reserves the right to withhold payments for fraudulent or misleading sales or if the Affiliate breaches the terms of this Agreement.
7. Termination
Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, the Affiliate will no longer be entitled to earn commissions on sales made after the termination date.
8. Intellectual Property
MANUKA grants the Affiliate a non-exclusive, non-transferable right to use its trademarks, logos, and marketing materials solely for the purpose of promoting the MANUKA products under this Agreement. The Affiliate agrees not to alter any branding materials without prior approval.
9. Confidentiality
The Affiliate agrees to keep confidential all proprietary information provided by MANUKA during the term of this Agreement, including but not limited to pricing, customer information, and sales data.
10. Limitation of Liability
MANUKA will not be held liable for any indirect, incidental, or consequential damages (including loss of revenue, profits, or data) arising out of this Agreement.
11. Governing Law
This Agreement will be governed by and construed in accordance with the laws of Türkiye, without regard to its conflict of law principles.
12. Amendments
This Agreement may only be modified or amended by a written agreement signed by both parties.
13. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the Affiliate Marketing Program and supersedes any prior agreements or understandings, whether written or oral.
